  1. GENERAL
    1. Before placing an order with us, please ensure that you read the terms and conditions below. These are the terms you have accepted when registering with us and reflect our standard trading terms and conditions.
    2. Where we refer to 'working days' within this document, this includes Monday to Friday only. Saturday and Sunday are not classed as working days.
  2. DEFINITIONS

    "Website" means the website located at www.l-a-smith.com or any subsequent URL which may replace it and is owned and operated by Colour Wovens Limited "Colour Wovens"; "we" or "us" means Colour Wovens Limited registered office: 8 Bourne Enterprise Centre, Wrotham Road, Borough Green, Kent TN15 8DG; "Conditions" means these terms and conditions; "Product" means a product displayed for sale on the Website; "Product Description" means that part of the Website where information in respect of the individual Product is provided; "Price" means a wholesale price that a Product is advertised for sale at; "Users" means the users of the Website collectively; "Personal Information" means the details provided by you on registration including both details of individuals and companies; "Cookies" means small text files which our Website places on your computer to store information about your shopping session and to identify your computer; "Dispatch Confirmation E-mail" means the email we send to you to confirm that we've dispatched your order to you; "United Kingdom" or "UK" means England, Wales, Scotland, Northern Ireland and the Channel Islands; "You" means a user of this Website.

  3. WEBSITE ACCESS
    1. You are provided with access to this Website in accordance with these Conditions and any orders placed by you must be placed strictly in accordance with these Conditions; this is implied, assumed and mutually accepted in all orders placed through this site. We will do our utmost to ensure that availability of the website is uninterrupted and that transmissions are error-free. However, due to the nature of the Internet, this cannot be guaranteed. We may also need to restrict or temporarily suspend your access to the Website for the purpose of maintenance, or the introduction of new facilities or services.
  4. ACCESS FROM OUTSIDE THE UK
    1. Whilst the primary Users of this Website are UK and Republic of Ireland customers, we do offer our products and services worldwide. In some cases, goods available on this website may not be purchased in certain countries under local laws. Users are responsible for compliance with local laws if and to the extent local laws are applicable.
  5. REGISTRATION
    1. You warrant that the Personal Information which you are required to provide when you register as a customer is true, accurate, current and complete in all respects; and you will notify us immediately by email or phone of any changes.
  6. ACCOUNT SECURITY
    1. You are responsible for maintaining the confidentiality of your password and account and any activities that occur under your account.  We shall not be liable to any person for any loss or damage which may arise from failure by you to take the necessary measures to protect your account details.
  7. OUR CONTRACT
    1. When you place an order to purchase a product from us, we will send you an email confirming the receipt of your order ("Order Receipt Confirmation email").  This does not constitute a contract between us and you for us to supply these goods. Your order represents an offer to us to purchase a product which is accepted by us, and becomes a matter of contract, only when we send you the Dispatch Confirmation email. That acceptance will be complete at the time we send the Dispatch Confirmation email to you.
    2. Any products on the same order which we have not confirmed in a Dispatch Confirmation email to have been dispatched do not form part of that contract.

  9. DELIVERY POLICY
    1. We aim to dispatch as rapidly as possible. We normally dispatch within 2 working days. However, please allow up to seven working days to take receipt of your order to take account of any errors or delivery issues encountered by our delivery partners, courier companies and post services, especially if you are outside the UK where further customs and import formalities may be involved.
    2. In the event that we cannot supply your full order we will endeavour to supply suitable alternatives where possible, which you may return if unsuitable at our expense. If there are problems with an order, you will be contacted by us using the contact details you have provided.
  10. CARRIAGE, POSTAGE AND PACKAGING
    1. The majority of our orders are shipped by 1-2 Working Day Courier Services, or by Standard Royal Mail first class post.
    2. Our prices include delivery to established customers in the UK (if over £150) and the Republic of Ireland (if over €200). Orders below these levels attract a Small Order Delivery Charge, currently £7.50 (UK) / €12.00 (Republic of Ireland).
    3. Delivery, post and packing for overseas orders (non-UK or Ireland) will be calculated and charged at cost. Place your order online in the normal way and we will confirm delivery costs back to you by email or phone before despatch.
    4. Where goods are lost or damaged in transit we will either send replacement goods, or offer a full refund, including delivery charges. You should advise us of any damage to your order within seven working days of receipt. You must advise us of non-delivery within 21 days of dispatch.
  11. PRODUCTS, PRODUCT DESCRIPTIONS AND PRICES
    1. Whilst we do our best to maintain sufficient stock levels, we cannot guarantee availability of stock at all times.
    2. We have taken extra care to ensure that all descriptions are accurate. However, orders will only be accepted if there are no material errors in the description of the Products or their prices as advertised in the website. Packaging may vary from that shown. Dimensions given are approximate only due to the practicalities of making products out of fabrics and yarns.
    3. To the extent permitted by applicable law, we disclaim all warranties, express or implied, as to the accuracy of the information contained in any of the materials in the website. We shall not be liable to any person for any loss or damage which may arise from the use of any of the information contained in any of the materials in the website.
  12. PAYMENT DETAILS
    1. Once your order is despatched, it will be invoiced through our systems in the usual way and you will receive an email invoice; all invoices are due 30 days from that despatch-and-invoice date.  In most cases, we will ask you to make payment direct to our trade finance partners, Aldermore.
  13. VALUE ADDED TAX (VAT)
    1. VAT is added to prices, where appropriate, at 20% during the completion of your order.
    2. We reserve the right to make adjustments to prices to accord with any change in the rate of VAT. Please note that orders from outside the UK are exempt from Value Added Tax (VAT) on VATable items.  However, you may be responsible for import VAT, import Duty or other charges upon import of the goods into your own jurisdiction.
    3. Please note that certain sizes and specifications of children’s clothing are exempt from VAT in the UK.
  14. RETURNS POLICY
    1. On the very rare occasion that product arrives with you that isn’t in perfect condition for whatever reason, or wasn’t what you expected, of course we will accept it back into stock and issue a credit note promptly for both the goods and the postage to return it to us.
    2. We try to be flexible and helpful and accept back other returns wherever possible provided (a) the goods were despatched to you within the past month and remain in our range, (b) the goods are returned in perfect order, including swing tags, labels, etc.
    3. In cases where our flexibility and helpfulness are being taken advantage of, we reserve the right to impose a restocking charge of 25%.
  15. PRIVACY AND SECURITY
    1. Personal information is private and therefore treated with the highest standards of security and confidentiality. We never make your personal details available to other companies for marketing or any other purposes, except for transmitting address details to our courier and delivery companies as necessary for the fulfilment of your order. We (and our representatives) may hold your personal details in order to process your order and/or maintain your account.
  16. CHANGES TO THE TERMS AND CONDITIONS
    1. We reserve the right to change these Conditions from time to time and you should read them when ordering.
  17. GOVERNING LAW AND JURISDICTION
    1. The Conditions shall be governed by and construed in accordance with the laws of England and you irrevocably submit to the exclusive jurisdiction of the courts of England.
